(Nasdaq:ALPP) (the "Company" or "Alpine 4"), a leading operator and owner of small market businesses, today announced that it has entered into definitive agreements with a single U.S. institutional investor and certain existing shareholders of the Company for the purchase and sale of 14,492,754 shares of the Company's common stock (the "Shares") and warrants to purchase up to 14,492,754 shares of the Company's common stock (the "Warrants", and together with the Shares, the "Securities") at a combined purchase price of $0.69 per one Share and accompanying Warrant, pursuant to a registered direct offering. The Warrants will have an exercise price of $0.69 per share, will be exercisable immediately, and will expire five years following the issuance date. The closing of the offering is expected to occur on or about July 13, 2022, subject to the satisfaction of customary closing conditions. The Company anticipates using the proceeds from this transaction to further its R&D development into its AX-03 class of solid-state batteries, preemptive materials purchasing to hedge against supply chain delays, and other operational expenses.
