Azarga Metals Upsizes Private Placement

WHITE ROCK, BC / ACCESSWIRE / February 24, 2021 / AZARGA METALS CORP. ("Azarga Metals" or the "Company") (TSXV:AZR) is pleased to announce that due to strong market demand Azarga Metals has increased its planned non-brokered private placement announced on February 17, 2021 from up to $500,000 to up to $1,300,000. On closing the private placement, the Company will issue up to 21,666,666 units at a price of C$0.06 per unit (a "Unit").

Each Unit consists of one common share of the Company (each, a "Share") and one-half of one Share purchase warrant (each whole warrant, a "Warrant"). One Warrant entitles the holder thereof to purchase one Share of the Company at a price of C$0.12 per Share for a period of two years from the closing of the Offering. The Shares issued in connection with the Offering will be subject to a four-month and a day hold period. In addition, the Offering is subject to the approval of the TSX Venture Exchange. Finder's fees will be payable on the Offering.

The Company intends to use the proceeds of the Offering to fund the cost of the PEA preparation on the Company's Unkur project and for general working capital purposes.
