Torchlight Prices Underwritten Public Offering of Common Stock

PLANO, TX / ACCESSWIRE / February 8, 2021 / Torchlight Energy Resources, Inc. (NASDAQ:TRCH), an oil and gas exploration company (the "Company"), today announced the pricing of an underwritten public offering of 20,000,000 shares of its common stock at a price of $1.20 per share. The Company has also granted to the underwriter a 30-day option to acquire an additional 3,000,000 shares to cover overallotments in connection with the offering. Gross proceeds of the offering will be $24 million before the underwriting discount and offering expenses payable by the Company, assuming no exercise of the overallotment option. The offering is expected to close on February 10, 2021, subject to customary closing conditions.

Roth Capital Partners is acting as the sole manager for the offering.

The Company intends to use the net proceeds for general business purposes and to provide $5 million of additional bridge financing to Metamaterial Inc. ("Meta") in connection with the previously announced Arrangement Agreement between the Company and Meta pursuant to which the Company and Meta will complete a business combination.
