Link Global Announces $640,000 Non-Brokered Private Placement Units Offering

VANCOUVER, BC / ACCESSWIRE / February 3, 2021 / LINK GLOBAL TECHNOLOGIES INC. (CSE:LNK)(FRA:LGT)(OTC PINK:LGLOF) ("LINK" or the "Company"), an innovative power and infrastructure solutions provider for Bitcoin mining and data hosting operations, is pleased to provide an update on its planned bitcoin mining operations. As previously announced on January 4, 2021, the Company is acquiring 2,600 bitcoin miners for self-mining and royalty earnings. This is "phase one" of that program.

A private, arms-length company has delivered over 50 Petahash or roughly .35 BTC/day at today's difficulty, through a combination of ASICs machines to begin mining at the Link's facilities in Alberta. The agreement includes a base rate charge for power and a profit share on the bitcoins (BTC) mined. President and CEO Stephen Jenkins comments, "this agreement allows LINK to generate revenue in two ways: a Power Purchase Agreement (PPA) and a royalty agreement. Our arrangement is attractive for several reasons: the immediacy of revenue with BTC earnings and the stable income from the PPA. While most companies tie up large amounts of capital for up to seven months to acquire more machines, LINK's approach is different by acquiring a blend of new and used machines, allowing immediate cash flow and tieing up less capital.

Under the agreement, LINK will manage the machines, and the private company will send a percentage of the net profit to LINK on a bi-weekly basis. This agreement takes effect on February 21st, 2021.

$640,000 Units Offering Private Placement

Link Global is also pleased to announce a non-brokered private placement of approximately 1,066,667 units (each, a "Unit") at a price of $0.60 per Unit for gross proceeds of up to $640,000 (the "Offering"). Each Unit will consist of one common share of the Company (each, a "Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"), with each Warrant entitling the holder to purchase one share at a price of $0.90 per share for a period of nineteen (19) months following the closing of the Offering.

The Company intends to use the proceeds from the Offering for:

  • The commissioning of new 10-Megawatt (MW) power sites in Alberta - Link is generating power from dormant and stranded natural gas assets and supplying this power via fixed-price contract to its clients, which include Bitcoin miners and data hosting operations.
  • Marketing and general working capital.

All securities issued in connection with the Offering will be subject to a statutory hold period expiring four months and one day after the closing of the Offering. Completion of the Offering is subject to the approval of the Canadian Securities Exchange (the "Exchange"). Any participation by insiders in the Offering will constitute a related party transaction under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101") but is expected to be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101. The Company may pay finder's fees in connection with the Offering in accordance with applicable laws.

The Company also announces that in connection with the closing of the financing (the "Financing") previously announced on January 7, 2021, it has paid additional finder's fees of $1,050 and issued 3,000 finder's warrants, each of which entitles the holder to purchase one common share at a price of $0.50 for 18 months from the date of closing of the Financing. All securities issued in the Financing are subject to a four-month hold period expiring May 8, 2021.

None of the securities sold in connection with the Offering and the Financing will be registered under the United States Securities Act of 1933, as amended, and no such securities may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
