Ur-Energy Inc. Announces Pricing of Public Offering of Common Shares and Warrants

LITTLETON, CO / ACCESSWIRE / February 2, 2021 / Ur-Energy Inc. (NYSE American:URG) (TSX:URE) ("Ur-Energy") announced today the pricing of its underwritten public offering of 14,722,200 common shares and accompanying warrants to purchase up to 7,361,100 common shares, at a combined public offering price of $0.90 per common share and accompanying warrant. Each whole warrant will have an exercise price of $1.35 and will expire three years from the date of issuance. Ur-Energy has also granted the underwriters a 30-day option to purchase up to 2,208,330 additional common shares and warrants to purchase up to an aggregate of 1,104,165 common shares on the same terms. The gross proceeds to Ur-Energy from this offering are expected to be approximately $13.25 million, before deducting the underwriting discounts and commissions and other estimated offering expenses payable by Ur-Energy, and assuming no exercise of the underwriters' option to purchase additional shares or warrants. The offering is expected to close on or about February 4, 2021, subject to satisfaction of customary closing conditions. All of the securities in the offering are to be sold by Ur-Energy.

Cantor Fitzgerald & Co. is acting as the sole book-running manager for the offering. Roth Capital Partners, LLC and H.C. Wainwright & Co., LLC are acting as co-lead managers for the offering.

Ur-Energy anticipates using the net proceeds from the offering to maintain and enhance operational readiness, for possible future acquisitions or other strategic transactions, and for working capital and general corporate purposes.
