CORRECTION: Adirondack Retirement Specialists Recommends Its Clients Not Tender CLCT Shares as Not in Clients Best Interest, and Significantly Undervalues the Company

Tuesday, 12 January 2021 09:45 PM

This press release serves as a correction to the release issued earlier today. Specifically, this release changes the ownership of shares from 271,000 to 275,760, and recommends not tendering shares for ARS clients.

QUEENSBURY, NY / ACCESSWIRE / January 12, 2021 / Dear Fellow Collectors Universe Shareholders: Adirondack Retirement Specialists, Inc. ("Adirondack", "our", or "we") is an Registered Investment Adviser whose accounts and shareholders maintain ownership of 275,760 shares of Collectors Universe ("Collectors", "CLCT", or the "Company"), representing an approximate 3% equity interest in the Company. We believe the recently announced $75.25 per share tender offer; a 3.7% premium to the closing price of Collectors' shares prior to the announcement of the proposed transaction, significantly undervalues the Company. We are fiduciaries for our shareholders in our RIA, and as such we are to put our client's best interest first. We believe that those attempting to buy the company at $75.25 know this price undervalues the company at this time. The business has reported, in a post COVID world, record sales, a backlog of orders , and a strong management forecast going forward. At this price, we have a strong belief that shareholders would be better served to see Collectors Universe continue as a public company, and proceed with the strategic and technology initiatives that are delivering strong financial results and stock price appreciation. Therefore, we will adamantly recommend that our clients not submit shares into the tender offer as proposed. Three key considerations lead us to oppose the proposed transaction: [1] We believe recently reported financial results show continued strength along with the forecast. [2] We believe the addition of Ms. Lorraine Bardeen, who serves as VP and Chief Technology Officer of World Wide Enterprise and Commercial Industries at Microsoft, was to head a technology initiatives committee that could bring significant digital revenues, as well as more efficient operations; this could add significant value to the company, and has yet to be realized . [3] We also have reservations about the Board of Directors' decision to recommend approval of the tender offer, as well as the process used to entertain and evaluate the offer.

We would prefer our clientele maintain ownership in the company as it currently stands, or, failing that, we feel that a significantly higher offer would be needed to represent fair value for Collectors Universe.
