Sigma Labs Announces Pricing of $1.5 Million Offering of Common Stock and Warrants

SANTA FE, NM / ACCESSWIRE / April 3, 2020 / Sigma Labs, Inc. (NASDAQ:SGLB), a leading developer of quality assurance software for the commercial 3D printing industry, today announced that it has entered into a definitive agreement with certain institutional investors for an offering of Sigma Labs' common stock (or common stock equivalents) and warrants to purchase common stock for aggregate gross proceeds of $1.5 million (the "Offering"). The Offering is expected to close on or about April 6, 2020, subject to the satisfaction of customary closing conditions.

In the Offering, Sigma Labs has agreed to sell an aggregate of approximately 493,027 registered shares of common stock (or common stock equivalents) at a price of $2.91 per share (or common stock equivalent). Sigma Labs will also issue to the investors unregistered warrants to purchase up to an aggregate of approximately 515,465 shares of common stock at an exercise price of $2.782 per share that are exercisable commencing the first trading day following the six month and one day anniversary of the issuance date and will expire five years from the initial exercisability date. Sigma Labs intends to use the net proceeds from this Offering for working capital and general corporate purposes.

Dawson James Securities, Inc. acted as the exclusive placement agent.
