Corporation Associated with Executive Chairman Acquires Securities of Rocky Mountain Liquor Inc.

EDMONTON, AB / ACCESSWIRE / July 10, 2019 / Rocky Mountain Liquor Inc. (“Rocky Mountain” or the “Company”) (TSX-V: RUM) announced today that 73297 Newfoundland and Labrador Ltd. (the “Acquiror”), on July 8 and July 9, 2019, a company owned 100% by Peter and Joan Byrne, acquired common shares (the “Common Shares”) of Rocky Mountain through the facilities of the TSX Venture Exchange (the “Transaction”). The Acquiror acquired ownership and control of 9,400,000 Common Shares at a price of $0.02 per Common Share.

Immediately prior to the Transaction, the Acquiror did not own or control any Common Shares of Rocky Mountain. Immediately prior to the Transaction Peter and Joan Byrne and Byrne Alberta Ltd. (the “Joint Actors”) directly and indirectly owned and controlled 27,691,452 Common Shares, representing approximately 11.66% of the issued and outstanding Common Shares as of July 5, 2019 based on 237,449,683 Common Shares issued and outstanding as of such date.

Immediately following the Transaction, the Acquiror and the Joint Actor, together, directly and indirectly owned and controlled 37,091,452 Common Shares, on a fully diluted basis, which represented approximately 15.62% of the issued and outstanding Common Shares as of July 9,2019 based on 237,449,683 Common Shares issued and outstanding as of that date.

Peter Byrne is the Executive Chairman of Rocky Mountain and Joan Byrne is his spouse. Byrne Alberta Ltd. is a corporation registered in Alberta and Newfoundland and Labrador, owned 100% by Peter and Joan Byrne. The Acquiror is a corporation registered in Newfoundland and Labrador and is owned 100% by Peter and Joan Byrne.

The Acquiror acquired the securities of Rocky Mountain for investment purposes. Depending on market conditions, the business and performance of the Issuer and other factors, the Acquiror or the Joint Actors may from time to time acquire and/or dispose of securities of Rocky Mountain or continue to hold their current position.
