Vancouver, B.C., / ACCESSWIRE / August 22, 2014 / SecureCom is pleased to announce that as a result of the completion of a plan of arrangement (the "Arrangement") on August 21, 2014 between Haltain, and Haltain's previously wholly-owned subsidiaries, SecureCom (formerly known as 0924891 B.C. Ltd. ("891")), 0924885 B.C. Ltd. ("885"), and 0924888 B.C. Ltd. ("888"), it became a reporting issuer in the provinces of Alberta and British Columbia. SecureCom's CUSIP number is "81372N109" and its ISIN number is "CA81372N1096".

Haltain received shareholder approval for the Arrangement at a special meeting of shareholders held on December 9, 2011, and received final approval of the Arrangement from the Supreme Court of British Columbia on January 10, 2012 in accordance with Part 9 of the Business Corporations Act (British Columbia).

Furthermore, pursuant to an amalgamation agreement dated June 30, 2014 (the "Amalgamation"), SecureCom completed a three-cornered amalgamation on August 21, 2014 between itself, its wholly-owned subsidiary 1006397 B.C. Ltd. ("397"), and 1005796 B.C. Ltd. ("796"), whereby SecureCom acquired 796 through the amalgamation of 397 with 796, with 397 as the surviving corporation (which remains a wholly-owned subsidiary of SecureCom).

796 held the exclusive rights to certain intellectual property related to encrypted voice, encrypted SMS/private messaging software and hardware, which has now been acquired by 397.

SecureCom has received conditional acceptance to list its common shares on the Canadian Securities Exchange.
