WELLINGTON, FL / ACCESSWIRE /  Opencell Biomed (OTC Pink: OCBM) (PINKSHEETS: OCBM) Preferred Commerce, Inc., d/b/a "Growums" ("Growums" or "Preferred Commerce"), an innovative company offering unique children’s education and online gaming products designed to combat childhood obesity and promote nutritious choices, has completed a share exchange transaction with Opencell Biomed, Inc. (OTC Pink: OCBM), which became effective August 15, 2014. The shareholders of Growums have acquired approximately 99% of the issued and outstanding shares of OCBM common stock.

Michael Ferraro, CEO of Preferred Commerce, stated, "This is an important corporate milestone that we are very pleased to have accomplished. With over 30 million US households as home to children between the ages of 4 and 11, our mission ultimately on a global scale, is to attract, educate and empower our next generation with these vital life-changing health principles. The opportunities this presents, we believe, will be greatly advanced by our status and recognition as a public company. We also anticipate that this transaction will increase our ability to attract leaders in childhood development, health and education for greater exposure of our cause." He concluded, “Our new status as a public company will provide us access to the capital markets and greater visibility as we advance our products and our mission and increase worldwide attention to the importance of healthy eating habits and the increasing epidemic of childhood obesity."

The Company’s primary current focus is squarely set on the reversal of childhood obesity and stressing the importance of child and adolescent nutrition through a program that combines hands-on gardening and education with entertainment and online gaming. Since the Company’s recent launch, Growums has placed nearly a million garden kits into the hands of children and families. The Growums system has become a fun and interactive educational experience that continues to empower children by showing them how healthy, fun and easy it is to find nutritious foods they can grow and enjoy at home.

Growums aims to teach the vital importance of fresh natural food, proper nutrition and the benefits of leading a healthy lifestyle. With this objective, the Company families a unique experience, combining real-world gardening expertise delivered virtually through a creative cast of cartoon friends known as "the Growums." This virtual world of fun garden characters, gaming and social activities for children is enhanced by the actual experience of helping children learn how to successfully grow real vegetables to use in healthy, delicious meals.

Childhood obesity is a swiftly growing epidemic. The Company’s mission is to reach the youth with its creative and effective strategies that can help curb the growing tide of dietary-related illnesses. According to the Centers for Disease Control and Prevention, obesity now affects triple the number of children and adolescents in the United States from just one generation ago. Studies reveal that estimates from 2010 classify more than one-third of children and teens as being overweight or obese. Obesity creates a higher risk for type 2 diabetes, cardiovascular disease, sleep apnea, and bone or joint problems.

Preferred Commerce and its lovable Growums characters have sold products in national chains and are aggressively marketing its gardening kits to schools across the nation as a fundraising program, in addition to pursuing strategic alliances with well-known organizations.
