("0996445" and the "Company") is pleased to announce that it has closed a plan of arrangement transaction (the "Arrangement") with Boomerang Oil, Inc., formerly 0922327 B.C. Ltd., ("Boomerang") and 0995162 B.C. Ltd.("Buyco"), pursuant to which the Company has acquired all of the issued and outstanding shares of Buyco, as contemplated in the amended arrangement agreement between the Company, Boomerang and Buyco dated April 8th, 2014.
The Arrangement was carried out pursuant to a statutory plan of arrangement with Boomerang and Buyco, pursuant to which Buyco purchased all the issued and outstanding shares of the Company from Boomerang for consideration of $5,000, following which the shareholders of Buyco exchanged their securities for securities of the Company on a one-for-one basis, resulting in such shareholders becoming shareholders of the Company and Buyco becoming a wholly-owned subsidiary of the Company. As a result of the Arrangement, the Company became a reporting issuer in the provinces of British Columbia and Alberta.
