SEC Mandates That Issuers Conducting Tier II Offerings Under Regulation A+ Rules Engage the Services of a Registered Transfer Agent

LOS ANGELES, CA / ACCESSWIRE / December 2, 2016 / The Crowd Invest Summit, scheduled for December 7-8 at the Los Angeles Convention Center, will address the many moving parts of a Regulation A+ (Reg A+) campaign, including the requirement that issuers obtain the services of a registered transfer agent. Panels, such as "From Crowdfunding to IPO," scheduled for Wednesday, December 7 at 1pm, will discuss the challenges and opportunities issuers face with Reg A+, with speakers providing tangible advice and recommendations for risk mitigation.

Transfer Agents and Reg A+

The US Securities and Exchange Commission's (SEC's) newly-revamped Reg A+ rules require that an issuer conducting a Tier II offering (raising up to $50 million) use the services of a registered transfer agent. The transfer agent's responsibilities include managing and maintaining records for stock and bond ownership of a company, as well as documenting the movement of securities both in primary and secondary markets. A transfer agent is one of several key service providers issuers require in order to position themselves for a successful Reg A+ campaign.

Five startups - chosen from more than three hundred through a crowdsourced competition - will pitch Nadel and other notable venture capitalists and angel investors, with the winning company receiving acknowledgment from the judges as well as complimentary legal services from one of the sponsoring securities law firms.

James Altucher, an entrepreneur, author, and investor, is slated to deliver the opening keynote speech for the conference earlier in the day at 9am.
